Terms of Service

By accessing or using Utably ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all Terms, you may not access or use the Service.

You must be at least 18 years old to create an account and purchase a subscription. Users aged 16-17 may use free features with parental or guardian consent. Users under 16 are not permitted to use the Service.

These Terms constitute a legally binding agreement between you and Joshua Sievert ("Provider," "we," "us," or "our"), a sole trader operating the Service under the name "Utably" and based in Leipzig, Germany.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.

SOCIAL LOGIN: You may register for or sign in to the Service using a supported third-party social login provider (currently Facebook and LinkedIn). When you choose to sign in with a social provider, you initiate a data transfer from that provider to us. We receive your name (given name and family name), email address, and profile picture from the social provider. Your profile picture is downloaded and stored on our infrastructure (AWS S3) to ensure reliable availability within the Service. You may change or delete your profile picture at any time in your account settings. Your use of social login is also subject to the social provider's own terms of service and privacy policy.

ACCOUNT LINKING: If you sign in with multiple social providers or methods that share the same email address, those identities are linked to a single Utably account. This ensures you maintain one unified account regardless of how you choose to sign in.

Each user may maintain only one account. Creating multiple accounts may result in termination of all accounts without refund.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal period.

PRICE CHANGES: We may change subscription prices upon 30 days' notice. Price changes will take effect at the start of the next billing period following the notice. If you do not agree to a price increase, you may cancel your subscription before the new price takes effect, and we will not charge you at the increased rate.

PROMOTIONAL AND TRIAL TERMS: Where a plan includes a free initial period (e.g., "first 3 months free"), the specific conditions of that promotion are shown to you before you complete your order. After the free period ends, the subscription continues automatically at the regular displayed price and renews in accordance with this section, unless you cancel before the end of the free period. We will notify you by email before the first charge. You may cancel at any time as set out in the "Termination" section.

EU CONSUMER WITHDRAWAL RIGHTS: If you are a consumer in the European Union, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason (the "cooling-off period"). To exercise this right, notify us via support@utably.com before the 14-day period expires.

If you access premium features during the cooling-off period, you expressly consent to immediate performance of the service. In this case: • You may still withdraw within 14 days • You will be charged a pro-rata amount for services already provided up to the date of withdrawal • The pro-rata amount is calculated based on the proportion of the billing period elapsed

REFUNDS: If we terminate your paid subscription for convenience (not for cause such as breach), you are entitled to a pro-rata refund for the unused portion of your current billing period. No refund is provided for termination due to breach of these Terms.

You retain all ownership rights to content you create, upload, or input into the Service ("User Content"). This includes your CVs, cover letters, profile information, and other materials.

By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your User Content solely as necessary to provide and improve the Service.

The Service, including its design, features, and underlying technology, is owned by Joshua Sievert (Utably) and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

The Service includes features that use artificial intelligence to generate content, including but not limited to: cover letters, CV suggestions, career insights, and application fit assessments ("AI Content").

IMPORTANT: AI Content is provided "as is" and may contain errors, inaccuracies, or inappropriate suggestions. We do not guarantee that AI Content will be accurate, suitable for any particular purpose, or free from bias.

You acknowledge that: • AI Content requires your review before use • You are solely responsible for any AI Content you choose to use • AI Content should be customized and verified by you • We are not responsible for outcomes from using AI Content

AI-generated career insights, suggestions, or recommendations do not constitute professional career counseling, legal, financial, or other professional advice. You should consult qualified professionals for important career decisions.

AI Content generated for you using your input is licensed to you for your personal or professional use. We retain no ownership claim over AI Content generated specifically for you from your User Content.

These Terms also govern your use of the Utably browser extension ("Utably Import") for Chrome, Edge, Firefox, and other supported browsers. The extension is an optional companion to the Utably web service and requires an active Utably account.

USER-INITIATED IMPORTS: The extension only accesses the content of a web page when you actively click "Auto-fill" or paste content yourself. You are responsible for ensuring you have the right to import any content you choose to send to Utably from third-party websites, and for complying with the terms of service of those websites.

THIRD-PARTY WEBSITES: The extension may be used on third-party job board and recruitment websites. Utably does not control, endorse, or assume responsibility for any third-party website or its content. Some websites (including LinkedIn) prohibit automated extraction of their content; on such sites the extension intentionally disables auto-fill and requires manual entry. You must comply with each website's terms of service when using the extension.

PERMISSIONS: By installing the extension you grant it the browser permissions described in its store listing and in our Privacy Policy (Browser Extension section). Optional host permissions are requested per individual website only at the moment you trigger an import, and may be revoked at any time via your browser's extension settings.

NO WARRANTY OF EXTRACTION ACCURACY: Job posting extraction relies on heuristics and the structure of third-party websites, which may change at any time. We do not warrant that extraction will be complete, accurate, or available for any given website. You are responsible for reviewing and correcting all extracted fields before clicking "Save to Utably".

FITCHECK AND AI CONTENT: The FitCheck feature in the extension is an AI-generated analysis and is subject to Section 5 (AI-Generated Content) above. FitCheck results are suggestions for self-assessment, not employment guarantees or professional career advice.

UPDATES AND DISCONTINUATION: We may update the extension via the Chrome Web Store, Firefox Add-ons, or Microsoft Edge Add-ons at any time. We may also discontinue the extension on 30 days' notice without affecting your underlying Utably account.

EMBEDDED MAPS: Certain pages of the Service (notably the Application Detail and Interview Calendar pages) can display Google Maps embeds so you can visualise the location of an office or interview venue. These embeds are provided by Google LLC and load only after you opt in to "Embedded maps & content" in our cookie preferences (or click the per-map "Load this map" button shown by default).

DATA TRANSFERS: When the embed loads, your browser sends your IP address, the requested map area, browser metadata, and any Google cookies your browser already holds to Google in the United States. Google may set its own cookies via the embedded iframe. We do not control which data Google collects via the embed; that data flow is governed by the Google Maps Service Specific Terms and Google's privacy policy at policies.google.com/privacy. Google LLC is certified under the EU-US Data Privacy Framework, which the European Commission has recognised as providing an adequate level of protection.

NO MAPS UNTIL YOU OPT IN: Until you grant consent, Utably renders a click-to-load placeholder, and we do not transmit any map-related data to Google. You can withdraw consent at any time through the cookie preferences in the footer or in your account settings; doing so reverts all map sections to the placeholder state.

NO WARRANTY OF MAP ACCURACY: Map data, business listings, and routing information shown via the embed are provided by Google and may be inaccurate, outdated, or incomplete. We do not warrant the accuracy of any location, address, or directions surfaced by the embed and accept no liability for decisions made in reliance on it.

You agree not to use the Service to: • Violate any applicable law or regulation • Provide false or misleading information • Impersonate any person or entity • Harass, abuse, or harm another person • Interfere with or disrupt the Service • Attempt to gain unauthorized access to our systems • Use automated means to access the Service without permission • Resell or commercially redistribute the Service • Create content for third parties at scale without authorization

We reserve the right to suspend or terminate accounts that violate these terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: • The Service will meet your requirements • The Service will be uninterrupted, secure, or error-free • AI-generated content will be accurate or suitable • Use of the Service will result in employment or career success

The personality assessment provided by Utably is based on the Big Five (OCEAN) personality model and is intended for self-reflection and personal development only. This is NOT a clinical psychological assessment and should not be used for medical or diagnostic purposes.

The Document Check feature reviews your application documents and provides suggestions on structure, completeness, and presentation. Its feedback is based on common best practices, is provided for guidance only, and does not guarantee any particular outcome with employers or recruiting systems.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The above limitations and exclusions do not apply to mandatory liability under German law. In particular, our liability is unlimited for intent and gross negligence, for injury to life, body, or health, and under the German Product Liability Act (Produkthaftungsgesetz). For the breach of essential contractual obligations (Kardinalpflichten) — obligations whose fulfilment is essential to the proper performance of the contract and on whose observance you may regularly rely — our liability is limited to the foreseeable damage typical for this type of contract.

Nothing in these Terms affects your statutory rights as a consumer under applicable law, including the mandatory provisions of German and EU consumer protection law.

BY YOU: You may cancel your subscription and close your account at any time through your account settings or by contacting support. Upon cancellation, you retain access until the end of your current billing period.

BY US (FOR CAUSE): We may suspend or terminate your access to the Service immediately, without prior notice, if: • You breach these Terms • You engage in fraudulent, abusive, or illegal activity • Your use poses a security risk to us or other users • We are required to do so by law or legal process • Your payment method fails and is not remedied within 7 days of notice

BY US (FOR CONVENIENCE): We may discontinue the Service or terminate your account on 30 days' notice. If we terminate a paid subscription for convenience (not for cause), you are entitled to a pro-rata refund for the unused portion of your billing period.

DATA EXPORT: You may request export of your data before termination or account closure. We will honor such requests within 30 days where technically feasible. Data deletion after termination follows our Privacy Policy and data retention schedules.

In accordance with the GDPR storage limitation principle (Article 5(1)(e)), accounts that have been inactive for twelve (12) consecutive months are automatically and permanently deleted, along with all associated data.

DEFINITION OF INACTIVITY: An account is considered "inactive" when the account holder has not logged in to the Service AND does not have an active paid subscription. Cancelled subscriptions that remain inactive follow the same twelve-month deletion rule.

EXCEPTION FOR PAID SUBSCRIBERS: Accounts with an active paid subscription are never subject to automatic deletion, regardless of login activity. As long as your subscription remains active and payments are current, your account and all associated data are retained.

RESETTING THE INACTIVITY TIMER: Logging in to your account at any point resets the twelve-month inactivity timer. You do not need to take any other action beyond signing in to prevent automatic deletion.

NOTIFICATION SCHEDULE: Before any automatic deletion occurs, we will notify you at the following intervals: • Month 10 of inactivity: First warning email informing you that your account will be deleted in approximately two months if you do not log in • Month 11 of inactivity: Second reminder email informing you that your account will be deleted in approximately one month • One week before deletion (approximately Month 11.75): Final notice email informing you that your account will be deleted in seven days

All notification emails are sent to the email address associated with your account. It is your responsibility to ensure your email address is current.

WHAT GETS DELETED: Upon automatic deletion, the following data is permanently and irreversibly removed: • Your authentication account (Cognito user account) • All stored records associated with your account (user data, profile, settings, preferences, documents, and all content) • All files associated with your account (profile pictures, uploaded documents, and generated files) • Payment and billing data (deleted or anonymized in accordance with our payment processor's requirements) • Any other data associated with your unique user identifier

REQUESTING AN EXTENSION: If you are unable to log in but wish to retain your account, you may contact us at support@utably.com to request an extension of the inactivity period.

We strongly recommend exporting your data before any extended period of inactivity. Data deleted through automatic account deletion cannot be recovered.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law applies only to the extent it does not deprive you of the protection of mandatory provisions of the law of your country of residence.

To the extent permitted by law, the place of jurisdiction for any disputes arising from these Terms is Leipzig, Germany.

If you are a consumer residing in the European Union, you may also bring proceedings in your country of residence, and nothing in these Terms affects your right to rely on any mandatory consumer protection laws in your country of residence.

We may update these Terms to reflect changes in our Service or legal requirements. We will update the effective date and, for material changes, provide at least 30 days' notice via email or through the Service before the changes take effect.

If you are a paid subscriber and a material change adversely affects your rights, you may cancel your subscription before the change takes effect without penalty and receive a pro-rata refund for any unused portion of your billing period.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the Service before the changes take effect.
